Polnisches Gesellschaftsrecht

The lecture is to present the Polish company law, i.e. the regulation of partnerships and corporations ("capital based companies"). It will focus on the liability principles in different types of companies, on corporate finance as well as on internal and external corporate governance. The Polish company law will be presented on the background of the European law contained in the EU directives and regulations. The ECJ case law in the field of the company law will be discussed. In order to present the "company law in action" the practical problems will be illustrated with cases derived from the jurisprudence of the Polish courts. The course is designated to German speaking students who want to get an insight into the present Polish commercial and company law and thus to gain the knowledge for further comparative analysis.
